1. Acceptance of Terms

By accessing, browsing, or using TradePrism ("the Platform", "Service", "we", "us", or "our"), operated by TradePrism Ltd ("the Company"), you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"), together with our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms. Material changes will be communicated via email or in-app notification.

2. Nature of the Service — Educational Use Only

IMPORTANT: TradePrism is an educational and informational tool ONLY. The Platform does NOT provide financial advice, investment advice, trading advice, tax advice, legal advice, or any other form of professional advice.

All data, analysis, signals, scores, debate outputs, AI-generated content, causal graphs, scout reports, backtesting results, and any other output produced by the Platform (collectively, "Platform Output") are provided strictly for educational, informational, and research purposes. Platform Output should NEVER be construed as a recommendation, solicitation, or offer to buy or sell any security, commodity, cryptocurrency, derivative, or financial instrument.

You acknowledge and agree that any decision to execute trades, invest, hold, or divest in any financial instrument is made entirely at your own risk and discretion. The Company shall bear no liability whatsoever for any financial losses, damages, or consequences arising from your reliance on Platform Output.

3. No Warranty on Data Accuracy

The Platform aggregates data from third-party sources including but not limited to market data providers, news APIs, economic indicators, and AI language models. We do not guarantee, represent, or warrant:

• The accuracy, completeness, timeliness, or reliability of any data or Platform Output;
• That data feeds will be uninterrupted, error-free, or free from delays;
• That AI-generated analysis, interpretations, or predictions will be correct;
• That backtesting results are indicative of future performance;
• That technical indicators, signals, or scores reflect current market conditions.

AI models (including Claude, GPT, and Grok) may hallucinate, produce factually incorrect statements, or generate misleading analysis. You must independently verify all information before acting on it. Past performance, whether real or simulated through backtesting, is not indicative of future results.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any direct, indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, data, goodwill, or anticipated savings;
• Financial losses resulting from trades executed based on Platform Output;
• Losses arising from data inaccuracies, delays, or omissions;
• Losses arising from AI model errors, hallucinations, or incorrect predictions;
• Any damages resulting from unauthorized access to or alteration of your data;
• Any damages resulting from interruption or cessation of the Service.

In no event shall our total aggregate liability exceed the amount you have paid to TradePrism in the twelve (12) months preceding the claim, or USD $100, whichever is greater.

5. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) any trading or investment decisions you make based on Platform Output; (d) your violation of any applicable law, rule, or regulation; or (e) any content you submit or transmit through the Platform.

6. User Responsibility for Trading & Investment Decisions

You are solely responsible for all trading and investment decisions you make.

You acknowledge that: (a) the Platform does not execute trades on your behalf; (b) any action you take in financial markets based on Platform Output is your independent decision; (c) you have the financial knowledge and experience to evaluate the risks of your investment choices, or have sought independent professional advice; (d) you accept full responsibility for the financial consequences of your decisions; (e) you are solely responsible for ensuring that your use of the Platform and any resulting trades or investments comply with all applicable laws, regulations, and personal requirements, including but not limited to Sharia compliance standards.

7. Regulatory Disclaimer

TradePrism is not registered as a broker-dealer, investment advisor, financial institution, or securities exchange with any regulatory authority. The Platform does not execute, facilitate, or intermediate trades. No fiduciary, advisory, or client relationship is created between you and the Company.

8. User Accounts & Eligibility

To use the Platform, you must: (a) be at least 18 years of age or the age of majority in your jurisdiction; (b) provide accurate, current, and complete registration information; (c) maintain the security of your account credentials; (d) promptly notify us of any unauthorized access.

You are solely responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms or are used for any unlawful purpose.

9. Intellectual Property

All content, features, functionality, trademarks, and proprietary technology of the Platform are owned by the Company and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial, educational purposes only.

You may not: (a) copy, modify, distribute, or create derivative works; (b) reverse engineer or decompile any part of the Platform; (c) use the Platform to build a competing product; (d) resell, sublicense, or commercially exploit Platform Output; (e) use automated systems (bots, scrapers) to access the Platform without our written consent.

10. Sharia Compliance Screening

The Platform provides Sharia compliance screening as an informational aid only. This screening is based on publicly available financial data and common screening methodologies. It does NOT constitute a fatwa, religious ruling, or certification by any qualified Islamic scholar or Sharia board.

You acknowledge that you are solely responsible for determining whether any investment or financial instrument meets your personal Sharia compliance requirements. The decision to invest in, hold, or divest from any asset based on its Sharia compliance status is yours alone, and you bear full accountability for that decision. The Platform's screening is a tool to assist your research — it does not replace your own due diligence or the guidance of a qualified Islamic finance scholar.

Users seeking Sharia-compliant investment guidance should consult a qualified Islamic finance scholar or advisor independently.

11. Geographic & Jurisdictional Restrictions

The Platform may not be available or appropriate for use in all jurisdictions. You are responsible for ensuring that your access to and use of the Platform complies with the laws of your jurisdiction. We reserve the right to restrict access from any jurisdiction at our discretion.

12. Third-Party Services & Data

The Platform integrates with third-party services and APIs. We are not responsible for the availability, accuracy, or policies of third-party services. Your use of third-party data may be subject to additional terms and conditions imposed by those providers. Links to third-party websites or services do not constitute endorsement.

13. Subscription, Billing & Refunds

Paid features are billed on a recurring basis. You may cancel at any time; cancellation takes effect at the end of the current billing period. Token purchases are non-refundable once consumed. We reserve the right to change pricing with 30 days' notice. Free-tier users may be subject to usage limits which may change without notice.

14. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and intellectual property) shall survive.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in London, United Kingdom, under the rules of the London Court of International Arbitration (LCIA), except where injunctive relief is sought.

16. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or third-party service outages.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Data Controller

19. Personal Data We Collect

We collect and process the following categories of personal data:

• Account Data: Email address, full name, organisation name, hashed password;
• Usage Data: Pages visited, features used, queries submitted, timestamps, IP address, browser/device information;
• Financial Preferences: Watchlist tickers, portfolio preferences, alert configurations (we do NOT store brokerage credentials or execute trades);
• Communication Data: Support correspondence, feedback submitted;
• Billing Data: Payment information processed securely by our third-party payment processor (we do not store full card details);
• Technical Data: Cookies, local storage tokens, session identifiers.

20. Legal Basis for Processing (GDPR)

We process your personal data under the following legal bases as defined by the UK GDPR and EU GDPR:

• Contractual Necessity (Art. 6(1)(b)): To provide and maintain your account and the Service;
• Legitimate Interests (Art. 6(1)(f)): To improve the Platform, prevent fraud, and ensure security;
• Consent (Art. 6(1)(a)): For marketing communications and non-essential cookies (you may withdraw consent at any time);
• Legal Obligation (Art. 6(1)(c)): To comply with applicable laws, regulations, and legal processes.

21. How We Use Your Data

Your personal data is used to:

• Provide, operate, and maintain the Platform;
• Authenticate your identity and manage your account;
• Process payments and manage subscriptions;
• Send service-related notifications and security alerts;
• Improve and personalise your experience;
• Analyse usage patterns to enhance Platform functionality;
• Comply with legal obligations and enforce our Terms.

22. Data Sharing & Third Parties

We may share your data with:

• AI Service Providers: Queries are sent to AI providers (Anthropic, OpenAI, xAI) to generate analysis. These providers process data under their own privacy policies;
• Payment Processors: For billing and subscription management;
• Infrastructure Providers: Hosting, CDN, and database services;
• Legal Authorities: When required by law, court order, or legal process.

We do NOT sell your personal data to third parties. We do NOT share your data for advertising purposes.

23. International Data Transfers

Your data may be transferred to and processed in countries outside the UK/EEA, including the United States (for AI processing). Such transfers are protected by: (a) Standard Contractual Clauses (SCCs) approved by the European Commission; (b) adequacy decisions; or (c) other lawful transfer mechanisms under GDPR.

24. Data Retention

We retain your personal data for as long as your account is active or as needed to provide the Service. Upon account deletion, personal data is erased within 30 days, except where retention is required by law (e.g., billing records for tax purposes, retained for up to 7 years). Anonymised, aggregated data may be retained indefinitely for analytical purposes.

25. Your Rights (GDPR / UK GDPR)

Under applicable data protection law, you have the right to:

• Access: Request a copy of your personal data (Art. 15);
• Rectification: Request correction of inaccurate data (Art. 16);
• Erasure: Request deletion of your data ("right to be forgotten") (Art. 17);
• Restriction: Request restriction of processing (Art. 18);
• Portability: Receive your data in a structured, machine-readable format (Art. 20);
• Objection: Object to processing based on legitimate interests (Art. 21);
• Withdraw Consent: Where processing is based on consent, withdraw at any time;
• Complaint: Lodge a complaint with a supervisory authority (UK ICO or relevant EU DPA).

26. Cookies & Local Storage

The Platform uses essential cookies and local storage for authentication (JWT tokens) and user preferences. We do not use third-party tracking cookies or advertising cookies. Essential cookies cannot be disabled as they are necessary for the Platform to function.

27. Security

We implement appropriate technical and organisational measures to protect your personal data, including encryption in transit (TLS), hashed passwords (bcrypt), access controls, and regular security reviews. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

28. Children's Privacy

The Platform is not intended for individuals under the age of 18. We do not knowingly collect personal data from children. If you believe a child has provided us with personal data, please contact us and we will promptly delete it.

29. Changes to This Policy

We may update this Privacy Policy from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Platform after changes constitutes acceptance of the updated policy.
